Terms of Service

These Terms of Service ("Terms") are a binding agreement between you ("you," "Member") and [LEGAL ENTITY NAME] ("Functional Lifestyle," "we," "us"), operator of the Functional Lifestyle membership platform available at functional-lifestyle.com and related pages (the "Platform"). By creating an account, accepting an invitation, or using the Platform, you agree to these Terms. If you do not agree, do not use the Platform.
1. What Functional Lifestyle Is (and Is Not)
Functional Lifestyle operates a membership platform that introduces Members to independent third-party companies ("Vendors") who provide wellness, lifestyle, advisory, and related products and services. Some functionality may be provided through white-labeled or integrated third-party applications.
Functional Lifestyle does not itself provide medical, health, fitness, nutritional, financial, legal, or other professional services. All such services are provided by independent Vendors. Functional Lifestyle is not a healthcare provider, is not a party to any engagement between you and a Vendor, and does not supervise, control, or guarantee any Vendor or their offerings. See Section 7 (Third-Party Vendors).
2. Definitions
- Platform — the Functional Lifestyle website, member portal, and related services we operate.
- Member — an individual granted access to the Platform.
- Vendor — an independent third party whose products or services are featured or accessible through the Platform.
- Content — text, information, listings, and materials available on the Platform.
3. Eligibility and Membership
3.1 The Platform is invitation-based. Access is granted by invitation and is subject to approval. Submitting an application or completing onboarding does not guarantee access.
3.2 Membership status may be pending, active, suspended, or expired. Only active Members may access member resources. We may approve, decline, suspend, or expire membership at our discretion, including as described in Section 11.
3.3 You must be at least 18 years old (or the age of majority in your jurisdiction) to be a Member. The Platform is not directed to children.
3.4 Membership may be offered in tiers with differing access. Membership is personal to you and may not be shared or transferred.
4. Accounts and Security
4.1 Authentication is managed through our identity provider. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account.
4.2 You agree to provide accurate information during onboarding and to keep it current. You agree to notify us promptly of any unauthorized use of your account.
4.3 We may verify your identity, restrict access from unrecognized devices, or require re-authentication to protect the Platform.
5. Acceptable Use
You agree not to: (a) share, sell, or transfer your access; (b) attempt to access accounts, data, or systems you are not authorized to access; (c) probe, scan, or test the vulnerability of the Platform or breach security or authentication measures; (d) scrape, harvest, or bulk-download Content or Member or Vendor information; (e) upload malicious code or interfere with the Platform's operation; (f) misrepresent your identity or affiliation; (g) use the Platform for any unlawful purpose or in violation of these Terms. We may suspend or terminate access for violations.
6. Intellectual Property
6.1 The Platform, including its design, text, graphics, logos, and software (excluding Vendor and third-party materials), is owned by Functional Lifestyle or its licensors and is protected by intellectual-property laws. We grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Platform for your personal membership purposes only.
6.2 "Functional Lifestyle" and associated logos are our marks. Vendor names and marks belong to their respective owners; their appearance on the Platform does not imply endorsement or partnership beyond making their offerings accessible.
7. Third-Party Vendors (Important)
7.1 Platform, not provider. Functional Lifestyle provides a Platform that introduces Members to independent Vendors. Functional Lifestyle does not provide the underlying medical, health, fitness, nutritional, financial, legal, or other professional services and is not responsible for services performed by Vendors.
7.2 No endorsement or guarantee. Vendor listings and information are provided for your convenience. We do not endorse, certify, or guarantee any Vendor, their qualifications, their advice, their results, their pricing, or their availability.
7.3 Independent evaluation. You are responsible for independently evaluating any Vendor before engaging them and for reviewing the Vendor's own terms and privacy practices, which govern your relationship with that Vendor.
7.4 Availability may change. Vendor participation, offerings, and access may change or end at any time without notice.
7.5 Disputes. Any dispute regarding a Vendor's products or services is between you and the Vendor. Functional Lifestyle is not a party to and is not responsible for such disputes unless it is directly and separately involved in providing the service at issue.
8. Wellness and Professional Services Disclaimer
Content and Vendor offerings accessible through the Platform are for general informational and lifestyle purposes and are not medical, health, financial, or legal advice, and are not a substitute for advice from a qualified professional. Always seek the advice of a qualified provider with any questions you may have. Never disregard professional advice or delay seeking it because of something accessed through the Platform.
9. User-Provided Information
You may provide information such as your name, contact details, and organization during onboarding. You represent that you have the right to provide it and that it is accurate. You grant us the right to use it to operate the Platform and administer your membership as described in our Privacy Policy.
10. Service Availability; "As Is"
10.1 We aim to keep the Platform available but do not guarantee uninterrupted or error-free operation. We may modify, suspend, or discontinue any part of the Platform at any time.
10.2 THE PLATFORM AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT ANY VENDOR OR THEIR OFFERINGS.
11. Suspension, Expiry, and Termination
11.1 We may suspend, expire, decline, or terminate your membership and access at any time, with or without notice, including for violation of these Terms, suspected fraud or security risk, or at our discretion.
11.2 You may stop using the Platform at any time and may request account deletion as described in our Privacy Policy.
11.3 Sections that by their nature should survive termination (including Sections 6, 7, 8, 10, 12, 13, and 15) survive.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, FUNCTIONAL LIFESTYLE AND ITS OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE PLATFORM OR ANY VENDOR OFFERING. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM WILL NOT EXCEED [LIABILITY CAP — e.g., amounts paid by you to Functional Lifestyle in the 12 months before the claim, or USD $100]. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.
13. Indemnification
You agree to indemnify and hold harmless Functional Lifestyle from claims, damages, and expenses (including reasonable attorneys' fees) arising from your use of the Platform, your violation of these Terms, or your dealings with any Vendor.
14. Changes to These Terms
We may update these Terms from time to time. Material changes will be indicated by updating the "Last updated" date and, where appropriate, by notice. Continued use after changes take effect constitutes acceptance.
15. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of [STATE], without regard to conflict-of-laws principles.
